This program will consider current developments in corporate social responsibility and the role of legal counsel in assisting management and company directors in developing and administering CSR programs; why companies have found it to be in their best interests to develop CSR programs; the impact of outside forces including NGOs and the socially responsible investment movement, and comparative approaches to CSR in the United States and Asia. The program will also address the legal framework for CSR programs, including how they can fit within the “business judgment” rule; voluntary versus mandatory programs; effect of SEC and other regulatory requirements; and international initiatives such as the UN Global Compact.  Finally, the program also will consider legal risks posed by CSR programs and related communications.
